Introduction

Legal Entity
Boom App is operated by Mazalore Ltd, a company registered in Cyprus with its principal office at 116 Gadstonos, 3032, M. Kyprianou, House 3&4 Floor, Limassol, Cyprus. Throughout these Terms, "Boom App," "we," "our," and "us" refer to Mazalore Ltd operating under the Boom App brand.

Welcome to Boom App (the "App"). These Terms of Use ("Terms") govern your access to and use of Boom App, including any content, functionality, and services offered through it. By downloading, accessing, or using Boom App, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the App. If you are using the App on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms, and "you" includes both you and that entity.

Accounts and Eligibility

Eligibility: You must be at least 13 years old (or the minimum legal age in your country to consent to digital services) to use Boom App. If you are between 13 and 18 (or the age of majority in your jurisdiction), you may use the App only with the involvement and consent of a parent or legal guardian. The App is not intended for children under 13, and we do not knowingly permit such use.

Account Registration: To access certain features, you may need to create an account. You agree to provide accurate, current information (such as your name and a valid email address) and keep it updated. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.

Account Security: You must promptly notify us at support@boomapp.com if you suspect any unauthorized use of your account or any security breach. We will not be liable for any loss or damage arising from your failure to keep your account secure.

Acceptable Use (User Obligations)

We want Boom App to be a safe and respectful platform. As a condition of using the App, you agree not to misuse it. Specifically, you will NOT:

  • Use the App for any unlawful, harmful, or fraudulent purpose, or in any way that violates any applicable law or regulation.
  • Post or share any content that is illegal, obscene, hateful, or infringes on anyone's rights (including intellectual property, privacy, or publicity rights).
  • Harass, bully, or threaten other users or our staff, or encourage violence or discrimination of any kind.
  • Impersonate any person or entity, or misrepresent your affiliation with anyone.
  • Introduce viruses, malware, or any other harmful code, or do anything that could damage or interfere with the operation or security of the App.
  • Attempt to gain unauthorized access to any accounts, computer systems, or networks connected to the App (for example, by hacking, password mining, or any other illicit means).
  • Reverse engineer, decompile, or disassemble any part of the App, or attempt to derive the source code or underlying ideas or algorithms of the App.
  • Copy, distribute, or create derivative works of any part of the App or its content (other than your own User Content) without our prior written permission.
  • Use any automated system (like bots or scrapers) to access the App in a manner that sends more requests to our servers than a human can reasonably produce in the same time.

We reserve the right to investigate and take appropriate action (including content removal, account suspension, or termination) for any suspected violation of these rules. If your account is terminated for violating these Terms, you may lose access to your content and we may prohibit you from re-registering.

User Content and Ownership

Boom App allows you to save memories, posts, activity logs, or other content ("User Content"). You retain all rights to the User Content that you create, submit, or store on Boom App. We do not claim ownership of your personal content.

However, by using Boom App and uploading or creating User Content, you give Boom App a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify (for formatting or technical purposes), and display your User Content solely for the purpose of operating and improving the Service. This license allows us, for example, to back up your data, display it to you (and to those you share it with, if that functionality is available), and process it so our memory features can function. We will not use your content for any other purposes without your permission.

Your Responsibilities for Content: You are solely responsible for the User Content you upload or create. By submitting any content, you represent and warrant that:

  • You have all necessary rights to post the content and to grant us the license described above.
  • The content does not violate any law or these Terms (for example, it does not contain material that is illegal or infringes someone's rights).

We do not routinely monitor User Content, but we reserve the right to remove or disable access to any content for any reason, including if we believe it violates these Terms or applicable law. We are not responsible for any loss of data - please maintain your own backup copies of your content.

Our Intellectual Property

Apart from your User Content, all other elements of Boom App are owned by Boom App, Inc. (or its licensors). This includes the App's software, design, logos, trademarks, graphics, and all other content provided by Boom App ("Boom App Content").

We grant you a limited, personal, non-transferable, and non-exclusive license to use the App and Boom App Content for your personal, non-commercial use, in accordance with these Terms. You agree not to copy, distribute, modify, or create derivative works based on any Boom App Content. Any rights not expressly granted to you in these Terms are reserved by Boom App and its licensors. Using the Boom App name or logo (other than to reference the service) is not allowed without our prior written consent.

If you provide us with any suggestions, ideas, or feedback about Boom App ("Feedback"), you agree that we can use and implement that Feedback without any obligation to you. Any Feedback you submit is entirely voluntary, and we may use it to improve our services without compensation to you.

Payments and Subscriptions

Some features of Boom App might be offered as premium services requiring payment (for example, a subscription for advanced features or increased storage). If you choose to subscribe or make a purchase:

  • Fees: You agree to pay any applicable fees for the subscription or purchase, plus any applicable taxes. Prices and payment terms will be as indicated at the time of purchase. All fees are in U.S. Dollars (unless otherwise specified) and are non-refundable except as required by law or explicitly stated otherwise.
  • Billing: If the service is offered on a subscription basis, your subscription will automatically renew at the end of each billing cycle (e.g., monthly or annually) unless you cancel it. By providing a payment method (such as a credit card or app store account), you authorize us to charge that method for recurring subscription fees. If a payment fails, we may attempt to charge again or suspend your access to paid features until payment is received.
  • Cancellation: You can cancel your subscription at any time through your account settings or the platform where you purchased the subscription (for example, through the Apple App Store or Google Play Store, if that's how you subscribed). Cancellation will prevent future charges, but no pro-rated refunds are provided for the current billing period except where required by applicable law. You will retain access to premium features until the end of your current paid period, after which your account may be downgraded to a free tier.
  • Changes to Fees: We may change our fees or introduce new charges for additional features in the future. If we do, we will give you reasonable advance notice via the App, website, or email. New fees will not apply retroactively, and if you disagree with the changes, you may cancel your subscription before the new fees take effect.
  • Free Trials & Promotions: If we offer a free trial or promotional offer, it will be subject to these Terms. After the trial period, you will be charged unless you cancel before the trial ends. Limit one trial per user unless otherwise stated.

Privacy and Data Protection

Your privacy is very important to us. When you use Boom App, you consent to the collection and use of personal information as outlined in our Privacy Policy (see below). We handle your personal data in compliance with applicable laws, including GDPR for users in the European Economic Area and UK, and CCPA for California residents.

Please review our Boom App Privacy Policy to understand how we collect, use, share, and protect your information. The Privacy Policy is incorporated into these Terms by reference. By using the App, you acknowledge that you have read and agree to the Privacy Policy.

Termination of Use

Both you and Boom App have the right to end this agreement at any time.

  • Your Right to Terminate: You may stop using Boom App at any time. You can also delete your account by following the instructions in the App or contacting support@boomapp.com. If you delete your account or terminate your use of the App, these Terms will no longer apply, except for any provisions that survive termination (see "Survival" below).
  • Our Right to Terminate or Suspend: We may suspend or terminate your access to Boom App (or certain features) at any time if: (a) you violate these Terms or our policies; (b) we are required to do so to comply with legal requirements; or (c) we discontinue the App (in whole or in part). In most cases, we will attempt to warn you of problematic behavior and provide an opportunity to correct it before terminating or suspending your account, but we are not obligated to do so.
  • Effect of Termination: Upon termination, your right to access and use the App will end. We may immediately deactivate or delete your account and all associated User Content. However, some information may persist in backup copies for a reasonable period (in accordance with our Privacy Policy) or as required by law. If your account is terminated due to a breach of these Terms, you are not entitled to any compensation or reimbursement for any unused subscription time or other services.
  • Survival: Any sections of these Terms that by their nature should survive termination (such as provisions on intellectual property, warranties, limitations of liability, and dispute resolution) will remain in effect even after termination of your access or account.

Disclaimer of Warranties

Boom App is provided on an "AS IS" and "AS AVAILABLE" basis. While we strive to provide a great service, we make no warranties or guarantees that the App will be uninterrupted, secure, or error-free, or that it will meet your expectations. To the fullest extent permitted by law:

  • We disclaim all warranties, express or implied, regarding the App and its content, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
  • We do not warrant that the information or content provided through the App is accurate, complete, or useful. Any reliance you place on the App's information is at your own risk.
  • No advice or information (whether oral or written) obtained by you from us shall create any warranty not expressly stated in these Terms.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, our warranties will be limited to the minimum extent required by applicable law.

Limitation of Liability

To the maximum extent permitted by law, in no event will Boom App or its parent, affiliates, officers, employees, agents, or partners be liable for:

  • Indirect or Consequential Damages: Any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the App. This limitation applies whether the claim is based in contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
  • Total Liability: Our total cumulative liability for all claims arising from or related to the App or these Terms will not exceed the amount (if any) that you paid to us for the Service in the twelve months immediately preceding the event giving rise to the liability, or fifty U.S. dollars (US $50) if you have not had any payment obligations to us, whichever is greater.

Nothing in these Terms limits or excludes our liability for gross negligence, willful misconduct, or any other liability that cannot be excluded by law. Your statutory rights as a consumer (if applicable) are not affected.

Indemnification

You agree to indemnify and hold harmless Boom App and its affiliates, officers, agents, and employees from and against any and all third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees and costs) that arise from: (a) your use of the App; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or the rights of a third party. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claim.

Governing Law and Dispute Resolution

We hope any issues can be resolved by contacting us first, but if not, the following provisions will apply:

  • Governing Law: These Terms and any dispute arising from them or the use of Boom App will be governed by the laws of the State of California, USA, excluding its conflict of laws principles. If you live outside the U.S., you might have additional rights under your local consumer laws; these Terms will not limit those rights where applicable.
  • Informal Resolution: You agree to first try to resolve any dispute with us informally by contacting us at support@boomapp.com and providing a brief written description of the dispute and your contact information. We shall attempt to resolve the dispute informally within 30 days.
  • Arbitration Agreement: If a dispute is not resolved informally, you and Boom App agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the App shall be settled by binding arbitration on an individual basis. The arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules (such as the Commercial or Consumer Arbitration Rules). The arbitration will be conducted in English. You may choose a reasonably convenient location for the arbitration or opt for a remote hearing (e.g., video conference). By agreeing to arbitration, you and Boom App are each waiving the right to a trial by jury or to participate in a class action.
  • Exceptions: Notwithstanding the above, either party may bring an individual action in small claims court for disputes that qualify, and either party may seek injunctive relief in a court of law to prevent (or stop) unauthorized use or abuse of the App or infringement of intellectual property without first going through arbitration.
  • Class Action Waiver: You and Boom App agree that claims against each other will be brought only in an individual capacity, and not on behalf of any class or collective action. The arbitrator shall not consolidate or join the claims of other persons or parties who may be in a similar situation.
  • Opt-Out: You have the right to opt out of the arbitration and class action waiver provisions by sending written notice to legal@boomapp.com within 30 days of first accepting these Terms. If you opt out, or if any part of the arbitration agreement is found unenforceable, you agree that the exclusive jurisdiction and venue described in the Governing Law section will govern any dispute between you and Boom App.

Changes to These Terms

We may occasionally update or modify these Terms. If we make material changes, we will notify you by email or through a prominent notice in the App (for example, via a notification) before the changes take effect. The "Last Updated" date at the top of these Terms indicates when the latest changes were made. By continuing to use Boom App after the updated Terms come into effect, you agree to be bound by the revised Terms. If you do not agree to the updated Terms, you should stop using the App and cancel any applicable subscriptions.
